1. Acceptance and Scope

These Terms of Service ("Terms") are a legal agreement between you and Lost Hills LLC ("Lost Hills," "Control," "we," "us," or "our") governing your access to and use of Control, including related websites, APIs, applications, support services, and features.

By creating an account, accessing, or using Control, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility and Authority

You must be at least 18 years old (or the age of majority in your jurisdiction) and legally capable of entering into contracts to use the Service.

If you use Control on behalf of a company, label, management firm, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.

3. Account Registration and Security

You agree to provide accurate and current account information and to keep it updated.

  • You are responsible for account credentials and all activity under your account.
  • You must promptly notify us of suspected unauthorized access or security incidents.
  • Account sharing is prohibited.
  • You may not share credentials in a way that circumvents seat, role, or pricing limits.
  • Violation of this section may result in immediate suspension or termination of your account.

4. Organization Workspaces and Admin Rights

Organization administrators may invite users, assign roles, configure workspace settings, and access workspace content and logs as permitted by product functionality.

You acknowledge that administrators for your organization may control or terminate your access to organization-owned workspaces and associated data.

5. Subscriptions, Fees, and Payment Terms

Control is offered as paid subscription plans unless otherwise stated. By subscribing, you authorize recurring charges for applicable fees, taxes, and add-ons.

  • Fees are stated in U.S. dollars unless otherwise specified.
  • Subscriptions renew automatically until canceled.
  • Plan changes may take effect immediately or at the next billing cycle, as shown at checkout.
  • You are responsible for applicable taxes, duties, and governmental charges.

Payment processing is handled by third-party processors (for example, Stripe) under their separate terms and privacy policies.

6. Trials, Promotions, and Credits

We may offer free trials, pilot plans, promotional pricing, or credits at our discretion. Unless otherwise stated, trial access converts to a paid subscription at the end of the trial period.

Promotional terms may be revoked or modified to prevent abuse, fraud, or policy violations.

7. Billing Failures, Suspension, and Collection

If payment fails, we may retry charges and suspend access until outstanding amounts are paid. You authorize us or our payment processors to update payment methods as permitted by law and card-network rules.

Overdue balances may result in account restrictions, downgrade, or termination, and may be referred to collection where legally permitted.

8. Cancellation and Refund Policy

You may cancel your subscription at any time through billing settings or by contacting support. Cancellation prevents future renewals but does not retroactively cancel charges for the current billing period unless required by law.

All fees are non-refundable. We do not provide refunds, credits, or prorated billing-period reimbursements, except where required by applicable law.

9. License to Use the Service

Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for your internal business purposes.

This license does not include resale, white-labeling, unauthorized API extraction, or use of the Service to build a competing service using our proprietary features or materials.

10. Acceptable Use Restrictions

You agree not to:

  • Use the Service in violation of law, regulation, or third-party rights
  • Attempt unauthorized access, privilege escalation, or system interference
  • Upload malware, exploit code, or harmful content
  • Scrape, copy, or harvest data from the Service in prohibited ways
  • Reverse engineer or attempt to derive source code except as allowed by law
  • Bypass technical limitations, seat controls, or usage restrictions
  • Use the Service to send spam, phishing, or unlawful communications
  • Misrepresent identity, affiliation, or rights to uploaded content

11. Customer Data and Content Ownership

As between the parties, you retain ownership of content and data you submit to Control ("Customer Data"). You grant us a limited license to host, copy, process, transmit, and display Customer Data solely to provide, secure, and improve the Service as described in these Terms and our Privacy Policy.

You represent and warrant that you have all necessary rights, consents, and permissions to submit and process Customer Data through the Service.

12. Feedback

If you submit suggestions, ideas, or feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate that feedback without restriction or compensation to you.

13. AI-Assisted Features

Certain features may include AI-generated or AI-assisted outputs. You are responsible for reviewing such outputs before relying on them for legal, financial, operational, or other consequential decisions.

We do not guarantee AI output accuracy, completeness, non-infringement, or fitness for any specific purpose. AI outputs may be similar to outputs provided to other users.

14. Third-Party Services and Integrations

The Service may interoperate with third-party services. Your use of third-party services is governed by those providers' own terms and privacy policies. We are not responsible for third-party products, services, or content.

15. Confidentiality

Each party may receive non-public information from the other party. The receiving party will use reasonable care to protect confidential information and will use it only as needed to perform under these Terms, except where disclosure is required by law.

16. Privacy and Data Protection

Our collection and processing of personal data is described in our Privacy Policy, which is incorporated by reference into these Terms.

17. Service Changes and Availability

We may modify features, interfaces, and functionality from time to time. We may also perform maintenance that temporarily affects availability.

Unless explicitly stated in a separate written service-level agreement, the Service is provided without a guaranteed uptime commitment.

18. Beta and Preview Features

We may offer beta, preview, alpha, or experimental features. These features are provided "as is," may be changed or removed at any time, and may be subject to additional terms.

19. Suspension and Termination

We may suspend or terminate access immediately if we reasonably believe you violated these Terms, pose a security risk, fail to pay fees, or where needed to comply with law.

Upon termination, your license to use the Service ends. You may request export of Customer Data for a limited period consistent with our retention practices.

20. Effect of Termination

Sections that by their nature should survive termination will survive, including sections on fees owed, ownership, disclaimers, limitations of liability, indemnification, dispute resolution, governing law, and confidentiality.

21. Warranties Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.

22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL LOST HILLS OR ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE TOTAL AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

23. Indemnification

You agree to defend, indemnify, and hold harmless Lost Hills and its affiliates from and against claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, Customer Data, violation of these Terms, or infringement of third-party rights.

24. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict of law rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Los Angeles County, California, and each party consents to personal jurisdiction and venue there.

25. Export Controls and Sanctions Compliance

You may not use the Service in violation of U.S. export control or economic sanctions laws. You represent that you are not located in, organized under, or ordinarily resident in a sanctioned jurisdiction, and are not on a prohibited-party list.

26. Anti-Corruption Compliance

You agree not to use the Service in connection with unlawful bribery, kickbacks, or corrupt practices and to comply with applicable anti-corruption laws.

27. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.

28. Entire Agreement and Severability

These Terms, together with any order forms and our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede prior agreements on the subject matter.

If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.

29. No Waiver

Failure to enforce any right or provision under these Terms does not constitute a waiver of that right or provision.

30. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice through the Service, by email, or by other reasonable means. Changes take effect on the stated effective date. Continued use after the effective date constitutes acceptance of the updated Terms.
